These Terms of Service ("Terms") govern your access to and use of the duqky.com website and the Duqky platform (collectively, the "Service"), operated by Duqky ("we," "us," or "our"). By creating an account or using the Service, you agree to be bound by these Terms.

If you do not agree to these Terms, do not use the Service.

1. Acceptance of Terms

By accessing or using the Service, you confirm that you are at least 18 years old (or the age of majority in your jurisdiction) and have the legal authority to enter into these Terms. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Description of Service

Duqky is an AI-powered search engine optimization (SEO) platform designed for SaaS companies. The Service provides an AI CMO agent and specialist workers:

• Content Worker — keyword research, content briefs, article creation, image generation, internal linking, and topical authority building
• Outreach Worker — prospect discovery, email drafting, and reply handling for link building campaigns
• Technical Worker — site audits, meta tag optimization, schema markup, page speed analysis, and technical SEO fixes

The Service operates on a credit-based pricing model. Features, capabilities, and agent functionality may change over time as we improve the platform.

3. Account Registration

To use the Service, you must create an account through our authentication provider (Clerk). You agree to:

• Provide accurate, current, and complete information
• Maintain and update your information as needed
• Keep your account credentials secure and not share them with others
• Notify us immediately of any unauthorized access to your account
• Accept responsibility for all activity that occurs under your account

We reserve the right to suspend or terminate accounts that contain inaccurate information or violate these Terms.

4. Credits and Billing

Credit System

The Service uses a credit-based pricing model. Credits are consumed when you use agent features such as content generation, site audits, keyword research, and outreach campaigns. The credit cost for each operation is displayed before you confirm it.

Free Credits

New accounts receive a one-time allocation of free credits. Free credits have no expiration date and are subject to fair use. We reserve the right to modify the free credit allocation for new accounts at any time.

Purchasing Credits

Additional credits can be purchased through the platform. All purchases are processed by Stripe. Prices are displayed in US dollars and may be subject to applicable taxes. Volume discounts may apply to larger purchases.

Refund Policy

Purchased credits are non-refundable except where required by applicable law. If the Service fails to deliver a result due to a platform error (not user error), the credits consumed by that operation will be refunded to your account balance.

Credit Expiration

Purchased credits do not expire as long as your account remains active. If your account is terminated or deleted, any remaining credits are forfeited.

5. Acceptable Use

You agree not to use the Service to:

• Generate or distribute spam, unsolicited emails, or bulk messaging that violates CAN-SPAM, GDPR, or other applicable regulations
• Create content that is illegal, defamatory, threatening, harassing, or that infringes on the rights of others
• Engage in any form of black-hat SEO, including keyword stuffing, cloaking, link schemes, or other practices that violate search engine guidelines
• Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service
• Scrape, crawl, or use automated means to extract data from the Service beyond its intended functionality
• Impersonate any person or entity, or misrepresent your affiliation with a person or entity
• Attempt to gain unauthorized access to any part of the Service, other accounts, or systems connected to the Service
• Use the Service to compete directly with Duqky or to build a competing product
• Exceed reasonable use limits or use the Service in a manner that degrades performance for other users

Violation of this section may result in immediate suspension or termination of your account without refund.

6. Intellectual Property

Our Property

The Service, including its design, code, algorithms, AI models, agent architectures, branding, documentation, and all related intellectual property, is owned by Duqky and protected by intellectual property laws. Nothing in these Terms grants you any right, title, or interest in the Service beyond the limited right to use it as described herein.

Your Content

You retain ownership of all content you provide to the Service (such as website data, brand guidelines, and input prompts). By using the Service, you grant us a limited, non-exclusive license to process your content solely to provide the Service.

Generated Content

Content generated by our AI agents (including articles, meta descriptions, outreach emails, and audit reports) is licensed to you for your use. You are free to publish, modify, and distribute generated content as part of your business operations. We do not claim ownership of generated content once it is delivered to you.

7. AI-Generated Content

You acknowledge and agree that:

• Content produced by our AI agents is generated algorithmically and should be reviewed by a qualified person before publication
• AI-generated content may contain errors, inaccuracies, or outdated information, and you are responsible for verifying its accuracy
• We do not guarantee specific SEO results, rankings, traffic, or revenue outcomes from using the Service
• Search engine algorithms change frequently, and past results do not guarantee future performance
• You are solely responsible for ensuring that content published through the Service complies with applicable laws and regulations in your jurisdiction
• Generated content should be reviewed for compliance with your industry's specific regulatory requirements (such as HIPAA, FINRA, or FTC guidelines)

8. Third-Party Services

The Service integrates with third-party services (such as email sending platforms for outreach). Your use of these integrations is subject to the terms and privacy policies of those third-party providers. We are not responsible for the practices or availability of third-party services.

9. Limitation of Liability

To the maximum extent permitted by applicable law:

• The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
• We do not warrant that the Service will be uninterrupted, error-free, or secure, or that any defects will be corrected.
• In no event shall Duqky, its officers, directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to your use of the Service, including but not limited to loss of profits, data, business opportunities, or goodwill.
• Our total aggregate liability for any claims arising from or related to the Service shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless Duqky, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from or related to:

• Your use of the Service
• Your violation of these Terms
• Content you create, publish, or distribute using the Service
• Your violation of any third-party rights
• Your violation of applicable laws or regulations

11. Termination

You may terminate your account at any time by contacting us or using the account deletion feature in the Service.

We may suspend or terminate your account at any time, with or without cause, with or without notice. Grounds for termination include, but are not limited to, violation of these Terms, fraudulent activity, extended inactivity, or a request by law enforcement.

Upon termination, your right to use the Service ceases immediately. Any remaining credits are forfeited. Sections that by their nature should survive termination (including intellectual property, limitation of liability, indemnification, and governing law) will survive.

12. Dispute Resolution

Any disputes arising from or related to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If a dispute cannot be resolved informally within 30 days, it shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in the state where Duqky is headquartered.

You agree to waive your right to participate in a class action lawsuit or class-wide arbitration.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to conflict of law principles. Any legal action or proceeding not subject to arbitration shall be brought exclusively in the courts located in the state where Duqky is headquartered.

14. Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. For significant changes, we will provide notice via email or an in-platform notification at least 30 days before the changes take effect.

Your continued use of the Service after changes are posted constitutes your acceptance of the revised Terms. If you do not agree with the updated Terms, you must stop using the Service and close your account.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

16. Entire Agreement

These Terms, together with our Privacy Policy and any additional terms you agree to when using specific features of the Service, constitute the entire agreement between you and Duqky regarding the Service.
